TERMS OF SERVICE

Please read these Terms of Service ("Terms") carefully before using the RFP Snapshot platform operated by Get Key Personnel, LLC ("Company," "We," "Us," or "Our"). These Terms govern your access to and use of the RFP Snapshot website at rfpsnapshot.com and app.rfpsnapshot.com (the "Site") and all related services, features, and functionality (collectively, the "Service").
By creating an account, accessing the Site, or using the Service, you ("You," "Your," or "User") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "You" refers to both you individually and the organization.
If you do not agree to these Terms, do not use the Service.
1. Description of Service
RFP Snapshot is a software-as-a-service (SaaS) platform that analyzes government solicitation documents — including Requests for Proposal (RFPs), Requests for Information (RFIs), Sources Sought notices, and related attachments — and generates structured summary documents ("Opportunity Snapshots") for use by government contractors in business development and capture management activities.
The Service includes document upload and processing, AI-powered text extraction and analysis, structured summary generation, PDF export, account management, and related features as described on the Site.
2. Eligibility
The Service is intended for use by businesses and professionals engaged in government contracting. By using the Service, You represent and warrant that:
You are at least 18 years of age.
You have the legal capacity and authority to enter into these Terms.
If acting on behalf of an organization, you are authorized to bind that organization to these Terms.
You will comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Service.
3. Account Registration and Security
3.1 Account Creation
To use certain features of the Service, You must create an account by providing accurate, current, and complete information. You agree to update your account information promptly if it changes.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Us immediately at [email protected] if You become aware of any unauthorized use of your account or any other breach of security.
3.3 Account Sharing
Account credentials are personal to the registered User. On the Starter plan (1 seat), your account may not be shared with or used by any other individual. On the Professional plan (up to 5 seats), additional authorized users may be added through the account settings. Each user must have their own unique login credentials.
3.4 Account Termination by User
You may close your account at any time by contacting Us at [email protected] or through your account settings. Upon account closure, your access to the Service will terminate, and your data will be handled in accordance with our Privacy Policy.
4. Subscription Plans, Pricing, and Payment
4.1 Subscription Plans
The Service is offered through subscription plans as described on the Site. Current plans include a Starter tier and a Professional tier. Plan features, pricing, and usage limits are published on the Site and may be updated from time to time. We will provide at least 30 days' notice of any pricing changes that affect your current subscription.
4.2 Free Trial
We may offer a free trial providing a limited number of Opportunity Snapshots at no charge and without requiring payment information. Free trial terms, including the number of snapshots included and the trial duration, are published on the Site. We reserve the right to modify or discontinue the free trial at any time.
4.3 Billing and Payment
Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. All payments are processed by our third-party payment provider, Stripe, Inc. By subscribing to a paid plan, You authorize Us (through Stripe) to charge the payment method on file for all applicable fees.
All fees are stated in U.S. dollars and are exclusive of any applicable taxes, which You are responsible for paying.
4.4 Automatic Renewal
Your subscription will automatically renew at the end of each billing period (monthly or annually) unless You cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting Us. Cancellation will take effect at the end of the current billing period — You will retain access to the Service until that date.
4.5 Refunds
Monthly subscriptions: No refunds are provided for partial months. Upon cancellation, You retain access through the end of the current billing period.
Annual subscriptions: No refunds are provided for partial terms. Upon cancellation, You retain access through the end of the current annual billing period.
We reserve the right to issue refunds or credits at Our sole discretion in other circumstances.
4.6 Failed Payments
If a payment fails, We will attempt to charge your payment method again and may notify You to update your payment information. If payment is not received within 14 days of the original billing date, We may suspend or terminate your access to paid features of the Service.
5. Acceptable Use
5.1 Permitted Use
You may use the Service solely for its intended purpose: uploading government solicitation documents to generate Opportunity Snapshots for your organization's internal business development, capture management, and proposal decision-making activities.
5.2 Prohibited Conduct
You agree not to:
Upload, transmit, or process any document that is classified, marked as Controlled Unclassified Information (CUI), For Official Use Only (FOUO), or bears any other controlled or restricted dissemination marking.
Upload any document containing personally identifiable information (PII), protected health information (PHI), or financial account information unless such information is incidental to and contained within a government solicitation document.
Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service.
Access or attempt to access the Service by any means other than through the interfaces provided by Us.
Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
Use automated means (bots, scrapers, or similar tools) to access or use the Service in a manner that exceeds reasonable use or circumvents usage limits.
Sublicense, resell, or redistribute the Service or any Opportunity Snapshot output to third parties as a standalone product or service without Our prior written consent.
Share your account credentials with unauthorized individuals or allow others to access the Service through your account in excess of your plan's seat limit.
Use the Service to develop a competing product or service.
5.3 Enforcement
We reserve the right to investigate and take appropriate action against any User who, in Our sole discretion, violates this Section 5, including without limitation suspending or terminating the User's account, removing content, and reporting violations to law enforcement authorities.
6. Uploaded Content and Intellectual Property
6.1 Your Content
"Your Content" refers to the documents, files, and other materials You upload to the Service. You retain all ownership rights in Your Content. By uploading Your Content, You grant Us a limited, non-exclusive, worldwide license to store, process, and transmit Your Content solely for the purpose of providing the Service to You — including transmitting extracted text to our AI processing provider to generate Opportunity Snapshots.
6.2 Government Solicitation Documents
Government solicitation documents issued by U.S. federal agencies are generally in the public domain and not subject to copyright protection. The structured summaries (Opportunity Snapshots) generated from these documents are derived works produced by Our Service. You acknowledge and agree that:
Cached summaries: Opportunity Snapshots generated from government solicitation documents may be cached by Us and served to other users who upload documents from the same solicitation. This caching applies only to the structured summary output derived from publicly available government documents.
No exclusivity: You do not acquire exclusive rights to any Opportunity Snapshot generated from a government solicitation document. Other users of the Service may receive identical or substantially similar summaries from the same solicitation.
6.3 Our Intellectual Property
The Service, including its design, features, functionality, software, algorithms, user interface, branding, trademarks, and all related intellectual property, is and remains the exclusive property of Get Key Personnel, LLC. Nothing in these Terms grants You any right, title, or interest in the Service or Our intellectual property, except for the limited right to use the Service in accordance with these Terms.
The Opportunity Snapshot output format, template design, and branding elements (including the RFP Snapshot name and logo) are the property of Get Key Personnel, LLC. You may use generated Opportunity Snapshots for your internal business purposes, but You may not remove, alter, or obscure Our branding from the output without Our prior written consent.
6.4 Feedback
If You provide Us with any suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), You grant Us an unrestricted, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without obligation or compensation to You.
7. AI-Powered Processing and Accuracy
7.1 AI Processing
The Service uses artificial intelligence (AI) technology, including third-party large language models, to analyze uploaded documents and generate Opportunity Snapshots. You acknowledge and agree that:
AI-generated output: Opportunity Snapshots are generated by AI systems and may contain errors, omissions, or inaccuracies. The output is intended as a decision-support tool to assist with opportunity triage — it is not a substitute for reading the original solicitation document.
No guarantee of accuracy: While We strive for high accuracy, We do not warrant that any Opportunity Snapshot will be complete, accurate, or error-free. Critical decisions — including bid/no-bid decisions, pricing, teaming, and proposal strategy — should always be verified against the original solicitation documents.
7.2 Your Responsibility
You are solely responsible for verifying the accuracy of any Opportunity Snapshot before relying on it for business decisions. We expressly disclaim any liability for decisions made in reliance on AI-generated output, including without limitation bid/no-bid decisions, pricing decisions, teaming arrangements, proposal submissions, or any other business actions taken based on the content of an Opportunity Snapshot.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, We do not warrant that:
The Service will be uninterrupted, timely, secure, or error-free.
The results obtained from the Service (including Opportunity Snapshots) will be accurate, reliable, or complete.
Any errors in the Service will be corrected.
The Service will meet your specific requirements or expectations.
We do not provide legal, procurement, or professional consulting advice. The Service is a document analysis and summarization tool. You should consult with qualified professionals before making procurement, legal, or business decisions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GET KEY PERSONNEL, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
This limitation of liability applies to all claims, whether based on warranty, contract, tort, strict liability, or any other legal theory, and whether or not We have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to You.
10. Indemnification
You agree to indemnify, defend, and hold harmless Get Key Personnel, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
Your use of the Service or any activity under your account.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Your upload of any document that You were not authorized to upload, including classified, controlled, or restricted documents.
Any claim by a third party arising from your use of the Service or any Opportunity Snapshot generated from Your Content.
11. Suspension and Termination
11.1 Termination by You
You may terminate your account at any time as described in Section 3.4. Cancellation of a paid subscription is governed by Section 4.4.
11.2 Termination or Suspension by Us
We may suspend or terminate your account and access to the Service, in whole or in part, at any time and for any reason, including without limitation if We reasonably believe that:
You have violated these Terms, including the Acceptable Use provisions in Section 5.
Your use of the Service creates risk or potential legal exposure for Us.
Your account has been inactive for an extended period (12 months or more).
We are required to do so by law or a governmental authority.
Providing the Service to You is no longer commercially viable.
Where practicable, We will provide You with advance notice and an opportunity to retrieve your data before termination. In cases of serious violations of Section 5, We may terminate your account immediately without notice.
11.3 Effect of Termination
Upon termination of your account:
Your right to access and use the Service will immediately cease.
We will delete your account data, uploaded documents, and personal snapshot history in accordance with our Privacy Policy (generally within 30 days).
Any outstanding fees owed to Us will become immediately due and payable.
The following sections of these Terms will survive termination: Sections 6 (Intellectual Property), 7 (AI Processing and Accuracy), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 13 (Governing Law), and 14 (Dispute Resolution).
12. Modifications to Terms and Service
12.1 Changes to These Terms
We reserve the right to modify these Terms at any time. If We make material changes, We will notify You by posting the revised Terms on the Site with an updated "Last Updated" date and, for changes that materially affect your rights, by sending notice to the email address associated with your account at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If You do not agree to the revised Terms, You must stop using the Service and close your account.
12.2 Changes to the Service
We may modify, update, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to provide advance notice of any material changes that significantly affect the functionality of the Service. We shall not be liable to You or any third party for any modification, suspension, or discontinuance of the Service.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Prince William County, Virginia, and You hereby irrevocably consent to the personal jurisdiction and venue of such courts.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, You agree to first contact Us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days from the date of Your initial notice.
14.2 Binding Arbitration
If a dispute cannot be resolved informally within 30 days, You and We agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Prince William County, Virginia, or via videoconference at the election of either party.
The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and fees associated with the arbitration, except as otherwise determined by the arbitrator.
14.3 Class Action Waiver
YOU AND WE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, You and We each waive any right to a jury trial.
14.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy (available at rfpsnapshot.com/privacy), constitute the entire agreement between You and Us regarding the Service and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the Service.
15.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the original provision.
15.3 Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by the waiving party. A failure to exercise or delay in exercising any right under these Terms shall not constitute a waiver of that right.
15.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without Our prior written consent. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
15.5 Force Majeure
We shall not be liable for any failure or delay in performing Our obligations under these Terms where such failure or delay results from circumstances beyond Our reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet or telecommunications failures, cyberattacks, third-party service provider outages, or other force majeure events.
15.6 Notices
All notices to Us should be sent to [email protected]. Notices to You will be sent to the email address associated with your account. Notices sent by email are deemed received on the date sent, provided no delivery failure notification is received.
15.7 Independent Contractors
The relationship between You and Us is that of independent contracting parties. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between You and Us.
15.8 Third-Party Beneficiaries
These Terms do not confer any rights or remedies upon any person or entity other than You and Us, except as expressly stated herein.
